TERMS OF SERVICE

Photo Rights and Usage:

Wadsworth & Shields LLC ("Content Provider") grants you a non-exclusive, non-transferable, worldwide license until the end of your listing contract for this property to use the accompanying image(s) or video(s) (collectively, "Media,") for permitted commercial purposes, defined as:

MLS, advertising, promotion, brochures, as part of a commercial website for promotional purposes use, prints, posters, flyers, tear sheets for promotional purposes (not for resale), prints, posters, or other commercial display of Media.

The original agent who paid for service on a specific property has permission to use Media on any electronic or printed form of advertisement for the promotion of that property. The licensing agreement is valid only for the duration the home/property is listed for sale and the Media may not be reused without specific written permission.

This license does not grant or constitute a transfer of ownership for any intellectual property rights, which are all explicitly held by Content Provider. Media cannot be resold, relicensed, or redistributed to another agent who takes over an expired or withdrawn listing, as the receiving agent does not own the Media, but rather has the right to use it during the specific term the property is for sale. The Buyer may reuse photos if the property is temporarily removed from the market.

Use as a derivative work, and reselling or redistributing such derivative work is prohibited. Media may not be used in a pornographic, obscene, illegal, immoral, libelous or defamatory manner. Media may not be incorporated into trademarks, logos, or service marks.

There is no warranty, express or implied, with the purchase of digital image(s) or video file(s). Content Provider will not be liable for any claims, or incidental, consequential or other damages arising out of this license or Buyer's use of the Media.

Payment:

Payments can be made securely online with a credit card or debit card, or via check for approved accounts. All clients can see and approve any media before remitting payment. This is done via Content Provider's online Client Center, which allows viewing of watermarked photos before payment and automatically removes this watermark as soon as the balance is settled.

Per US Copyright Law, Wadsworth & Shields LLC is the copyright holder of any image/media produced by our team. This copyright is not transferred to any other party unless a specific written agreement is made. Please contact us for licensing questions.

Late Fees:

We allow up to 30 days to pay any invoice without penalty (unless otherwise stated). Unpaid balances that are thirty (30) days past the due date will be considered late. At our discretion, we reserve the right to charge a late fee of 10% per invoice that is thirty (30) days past due.

Rescheduling / Cancellation:

Content Provider will charge a 50% rescheduling fee (minimum $85) if we arrive at the shoot and it is not ready. We reserve the right to charge up to a 50% fee for projects cancelled or rescheduled within 24 hours of the scheduled project. In these circumstances, we will do our best to get your project rescheduled as quickly as possible.
